Terms of Service

These terms govern your use of BeatFrame, operated by Wynaxa Connect Ltd, a company registered in Ireland (“we”, “us”). By creating an account you agree to them. If you do not agree, do not use the platform.

1. What BeatFrame is

BeatFrame is a marketplace. Requesters (venues, DJs, promoters and other event organisers) post events. Creators (videographers, photographers, social and short-form creators, editors and drone operators) apply to cover them. We provide the platform, handle payment, and hold funds until work is delivered.

We are not a party to the booking itself. The agreement to attend, film and deliver is between the requester and the creator. We are not the employer of any creator, and we do not supervise, direct or control how work is performed.

2. Eligibility

You must be at least 18 years old to use BeatFrame. Bookings involve payment, private messaging with people you have not met, and attending venues in person. By using the platform you confirm you are 18 or over, and that any business you represent has authorised you to act for it.

3. Your account

You are responsible for activity under your account and for keeping access to your email secure, since signing in uses a link sent to your address. Give accurate information and keep it current. One person or business, one account.

4. Applications and offers

Creators apply to an event with a quoted price. A requester may accept that price or make a counter-offer, and either side may counter again. An offer is a commitment: when the other party accepts it, a booking is created at that price immediately. Do not make an offer you are not prepared to honour.

5. Fees

Creators pay nothing and keep 100% of their agreed price. The requester pays a platform fee of 5%, added on top of the creator’s price and shown before payment. Any change to that fee will be announced in advance and will not affect bookings already made.

6. Payment and escrow

Payments are processed by Stripe. When a requester pays, funds are held by the platform rather than passed straight to the creator. They are released to the creator once the requester approves the delivered work, or automatically if the requester takes no action within 48 hours of delivery being marked.

Creators must complete Stripe Connect onboarding to receive payouts. Until that is done, a payout cannot be released even where work has been approved.

7. Location changes

A requester may change an event’s location freely before a creator is booked. Afterwards, either party may propose a new location but it takes effect only when the other agrees, because a change of venue may materially change the job. If you cannot agree, the booking can be cancelled under section 8.

8. Cancellations and refunds

Where a payout has already been released and a refund is later found to be owed, the creator is liable for the amount and we may recover it from future payouts.

9. Deliverables and rights

Unless the requester and creator agree otherwise in writing, on full payment the creator grants the requester a worldwide, perpetual licence to use the delivered material for the requester’s own promotional and commercial purposes. The creator retains copyright and may show the work in their portfolio and showreel.

Filming people at events is subject to the permissions set on the event. It is the requester’s responsibility to secure venue permission and any consents required for the people filmed.

10. Conduct and content

You are responsible for everything you post: your profile, bio and photo, event descriptions, messages, offer notes and cancellation reasons. You must not post or send content that is unlawful, harassing, hateful, threatening, sexually explicit, discriminatory, deceptive, or that infringes someone else’s rights.

You must not use BeatFrame to arrange work off-platform in order to avoid fees, impersonate anyone, scrape the platform, or contact other users for purposes unrelated to a booking.

You can report any profile, event or message, and you can block another user. We review reports and may remove content, restrict features, or suspend or delete accounts. We may act without notice where there is a risk to someone’s safety.

11. Ending your use

You may delete your account at any time from your account settings. Some records must be retained after deletion where the law requires it — invoices and payout records in particular — and deletion cannot complete while you have money held in escrow or an open dispute. See the Privacy Policy for what is kept and for how long.

We may suspend or end your access if you breach these terms, or where required by law or by our payment provider.

12. Liability

BeatFrame is provided as-is. We do not guarantee that a creator will be found for an event, that work will meet expectations, or that the platform will be uninterrupted. We are not liable for the acts or omissions of users, including non-attendance, quality of work, or conduct at a venue.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Where liability can be limited, ours is limited to the platform fees you paid us in the twelve months before the claim.

13. Changes

We may update these terms. Where a change is material we will tell you before it takes effect. Continuing to use BeatFrame after that means you accept the updated terms.

14. Governing law

These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction. If you are a consumer, this does not remove protections you have under the law of your own country.
